Acceptance of Terms

Welcome to rapidshiftix AB ("rapidshiftix", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our cloud-based finance management systems, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

Description of Services

rapidshiftix provides cloud-based finance management systems and related services designed to help businesses streamline their financial operations. Our Services include software-as-a-service (SaaS) solutions, data analytics, reporting tools, compliance management, and customer support. We reserve the right to modify, update, or discontinue any aspect of our Services at any time with reasonable notice to our customers.

User Obligations

By using our Services, you agree to comply with all applicable laws, regulations, and these Terms. You are responsible for:

• Providing accurate, current, and complete information when creating an account or using our Services
• Maintaining the security of your account credentials and being responsible for all activities under your account
• Using our Services only for lawful business purposes and in accordance with applicable laws
• Not attempting to gain unauthorised access to our systems or other users' data
• Not interfering with or disrupting the integrity or performance of our Services
• Not using our Services to transmit harmful, illegal, or inappropriate content
• Complying with all applicable data protection and privacy laws when using our Services

Account Registration and Access

To access certain features of our Services, you may need to create an account. You must provide accurate and complete information during registration and keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

Payment Terms

If you purchase paid Services, you agree to pay all applicable fees as described in your service agreement or invoice. Payments are due according to the payment terms specified in your agreement. We reserve the right to suspend or terminate your access to paid Services if payments are not received when due. All fees are non-refundable unless otherwise specified in your service agreement or required by applicable law.

Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your business data that you upload to or create using our Services. You grant us a limited licence to use your data solely for the purpose of providing our Services to you. We will implement appropriate security measures to protect your data, but you acknowledge that no system is completely secure.

Intellectual Property

The Services and all content, features, and functionality thereof are owned by rapidshiftix and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use our Services in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services or reverse engineer or attempt to extract the source code of our software, unless laws prohibit those restrictions or you have our written permission.

Service Availability and Maintenance

We strive to provide reliable and continuous access to our Services, but we cannot guarantee 100% uptime. We may perform scheduled maintenance or updates that may temporarily affect service availability. We will provide reasonable advance notice of planned maintenance when possible. We are not liable for any temporary interruptions in service due to maintenance, updates, or technical issues beyond our reasonable control.

Limitation of Liability

To the maximum extent permitted by applicable law, rapidshiftix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from your use of or inability to use our Services. Our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you to rapidshiftix in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless rapidshiftix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Sweden. If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

Dispute Resolution

We prefer to resolve disputes amicably and encourage you to contact us first if you have any concerns. If we cannot resolve a dispute through direct negotiation, disputes may be resolved through mediation or arbitration as agreed upon by both parties. Nothing in this section shall prevent either party from seeking injunctive relief or other equitable remedies in court when necessary to protect intellectual property or confidential information.

Termination

Either party may terminate these Terms and your access to our Services at any time with or without cause. We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use our Services will cease immediately. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law clauses. We will provide you with reasonable opportunity to export your data upon termination, subject to applicable law and our data retention policies.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of our Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. The failure of either party to exercise any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and rapidshiftix regarding the use of our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
